Terms of Service
These Terms of Service ("Terms") govern your use of the RebateTools website and platform (the "Service"). By using the Service or creating an account, you agree to these Terms on behalf of yourself and any business you represent. If you don't agree, please don't use the Service.
1. About these terms
The Service is provided by [COMPANY LEGAL NAME] Ltd, a company registered in England and Wales under company number [COMPANY NUMBER], with its registered office at [REGISTERED ADDRESS] ("RebateTools", "we", "us"). The Service is intended for business use by introducing brokers, affiliates and partner managers. By using it you confirm you are at least 18 and are acting for business purposes, not as a consumer.
2. The service
RebateTools is software that helps you track and analyse your partner network, including clients, sub-affiliates, activity and rebates, using data from accounts you choose to connect. Any specific features, limits or service levels agreed with you in writing (an "Order") form part of these Terms. If an Order conflicts with these Terms, the Order takes priority.
3. Accounts
- You must give accurate information and keep it up to date.
- You are responsible for keeping your login details secure and for all activity under your account, including by anyone you give access to.
- Tell us straight away at [support@rebatetools.co.uk] if you suspect unauthorised access.
4. Fees & billing
- Fees, billing frequency and any commercial terms are set out in your Order or on the pricing we give you in writing.
- Unless your Order says otherwise, subscriptions renew automatically at the end of each billing period until cancelled, and fees are payable in advance.
- Fees are exclusive of VAT and other applicable taxes, which will be added where required.
- If a payment fails or is overdue, we may suspend access after giving you notice.
- Except where required by law or stated in your Order, fees already paid are non-refundable.
- We may change our fees by giving you at least 30 days' notice. The change will apply from your next billing period.
5. Acceptable use
You must not:
- use the Service unlawfully or in breach of any third-party platform's terms;
- upload or connect data you don't have the right to use;
- try to access other users' data, or probe, disrupt or overload the Service;
- reverse engineer, copy, resell or sublicense the Service except as we allow in writing;
- use the Service to send spam or unlawful marketing.
We may suspend or restrict access if we reasonably believe you are in breach of this section.
6. Your data
- You keep all rights in the data you upload or connect ("Customer Data"). You give us a licence to use it only to provide, secure and support the Service.
- For personal data within Customer Data, you are the controller and we are your processor. We will process it in line with our data processing terms, available on request, and our Privacy Policy.
- You are responsible for having a lawful basis to share Customer Data with us and for its accuracy.
- We may use anonymised, aggregated data that does not identify you or any individual to improve the Service.
7. Third-party platforms
The Service connects to third-party platforms, such as broker and partner portals, that you choose to use. We are not responsible for those platforms, their availability, or the accuracy of data they provide. Your use of them is governed by their own terms. If a third party changes or withdraws access, some features may stop working. We will make reasonable efforts to restore functionality but cannot guarantee it.
8. No financial advice
RebateTools provides software and data analysis only. Nothing in the Service, our communications or any growth plan we prepare is financial, investment, legal or tax advice, or a promise of particular earnings. Figures and projections are estimates based on information available to us and may not be achieved. You are responsible for your own business decisions and for complying with any regulations that apply to you.
9. Intellectual property
We and our licensors own all rights in the Service, including its software, design and content. We give you a non-exclusive, non-transferable right to use the Service during your subscription, for your internal business purposes. If you send us feedback, we may use it freely.
10. Availability & changes
We aim to keep the Service available and working well but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and we may update or change features from time to time. We will not materially reduce the core functionality of a paid subscription during its current term without your agreement.
11. Liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
- Subject to that, we are not liable for any loss of profits, revenue, rebates, commissions, business, goodwill or data, or for any indirect or consequential loss.
- Subject to that, our total liability arising from or in connection with these Terms in any 12-month period is limited to the fees you paid us in that period.
- The Service is provided "as is". Except as expressly stated in these Terms, all warranties and conditions are excluded to the fullest extent permitted by law.
12. Term & termination
- You can cancel at any time. Cancellation takes effect at the end of your current billing period unless your Order says otherwise.
- We may end or suspend your access if you materially breach these Terms and don't fix the breach within 14 days of notice, or immediately if the breach can't be fixed or involves unlawful activity.
- When your account ends, you can ask us within 30 days to export your Customer Data. After that, we will delete it, unless the law requires us to keep it.
13. General
- We may update these Terms. We will give you at least 30 days' notice of material changes. Continuing to use the Service after that means you accept them.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor business.
- Neither party is liable for delays caused by events outside its reasonable control.
- If any part of these Terms is found unenforceable, the rest remains in force.
- These Terms, together with any Order, are the entire agreement between us about the Service.
- Nobody other than you and us has any right to enforce these Terms.
14. Governing law
These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
